Terms of Service
1.Acceptance of Terms
By accessing or using the contracode.ai website ("Site") or any services offered by Contracode ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or Services.
Contracode is operated by Sheeba Grover, doing business as Contracode ("we," "us," or "our"), located in Alberta, Canada.
2.Services Described
Contracode provides AI automation consulting and implementation services for small and medium-sized businesses, including but not limited to:
- Fixed-scope automation builds (n8n workflows, API integrations, AI agents)
- Monthly retainer support plans
- Fractional CAO and Fractional CISO advisory services
- Business automation audits and discovery sessions
The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Master Services Agreement (MSA) and Statement of Work (SOW) executed between you and Contracode. In the event of any conflict between these Terms and an executed MSA, the MSA governs.
3.Use of the Website
You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You must not:
- Use the Site to transmit any unlawful, harmful, or fraudulent content
- Attempt to gain unauthorized access to any part of the Site or its systems
- Use automated tools to scrape, copy, or extract content from the Site
- Misrepresent your identity or affiliation when submitting forms or inquiries
We reserve the right to deny access to the Site to any person or entity that violates these Terms.
4.Inquiry Forms and Booking
When you submit an inquiry form or book a discovery call through the Site, you are initiating a preliminary conversation — not entering into a binding service agreement. No commitment to provide services is made by Contracode until a signed MSA and SOW are in place.
Discovery calls and audit sessions are free unless otherwise stated. Contracode reserves the right to decline any inquiry at its sole discretion.
5.Intellectual Property
All content on the Site — including text, graphics, logos, design elements, and code — is owned by or licensed to Contracode and is protected under applicable Canadian intellectual property law. You may not reproduce, distribute, or create derivative works from any Site content without our prior written consent.
With respect to services delivered under an executed engagement:
- You own the specific automation build, workflow, or implementation delivered for your business
- Contracode retains ownership of all underlying frameworks, templates, proprietary methodologies, and reusable components used to create the deliverable
6.Payment Terms
Payment terms for all services are governed by the executed SOW and MSA for each engagement. General terms:
- Fixed projects: 50% deposit required to reserve a build slot. Remaining 50% due upon delivery.
- Automation Audit fee ($150): Due at booking. Fully credited toward any resulting project.
- Retainer plans: Billed monthly in advance. Unused hours do not roll over.
- Fractional services: Billed monthly in advance per the applicable SOW.
All prices are in Canadian dollars (CAD) unless otherwise stated. Applicable taxes (GST) will be added to all invoices.
Failure to pay invoices when due may result in suspension of services and/or late payment charges as specified in the MSA.
7.Disclaimer of Warranties
THE SITE AND ALL INFORMATION, CONTENT, AND MATERIALS ON IT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Services delivered under an executed engagement are subject to the warranty terms in the applicable MSA.
8.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTRACODE AND ITS PRINCIPALS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO CONTRACODE IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
9.Indemnification
You agree to defend, indemnify, and hold harmless Contracode and its principals from and against any claims, liabilities, damages, judgments, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site or Services in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights.
10.Links to Third-Party Sites
The Site may contain links to third-party websites. These links are provided for your convenience only. Contracode does not endorse and is not responsible for the content, privacy practices, or terms of any third-party sites. Your use of third-party sites is at your own risk.
11.Privacy
Our collection and use of personal information submitted through the Site is governed by our Privacy Policy, available at contracode.ai/privacy. By using the Site, you consent to our collection and use of personal information as described in the Privacy Policy.
12.Termination
We reserve the right to terminate or suspend your access to the Site at any time, with or without cause, and with or without notice. Sections 5, 7, 8, 9, and 13 of these Terms survive any termination.
13.Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Any dispute arising out of or related to these Terms or your use of the Site that cannot be resolved informally shall be submitted to binding arbitration in Calgary, Alberta, in accordance with the Arbitration Act (Alberta), before a single arbitrator. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
14.Changes to These Terms
We may update these Terms at any time by posting the revised version on the Site with an updated "Last Updated" date. Material changes will be communicated via a notice on the Site. Continued use of the Site after the effective date of any revision constitutes your acceptance of the updated Terms.
